1) Introduction
Welcome to InvoiceBest. These Terms of Service (“Terms”) govern your access to and use of our invoicing services, website, and related software (the “Service”). By using the Service, you agree to these Terms and our Privacy Policy.
2) Who May Use the Service
You must be at least 18 years old to use InvoiceBest. If you are using the Service on behalf of a company or organization, you represent and warrant that you have authority to bind that entity to these Terms.
- Age requirement: You must be 18 or older (or the age of majority in your jurisdiction).
- Business authorization: If using the Service for business purposes, you confirm you are authorized to enter into contracts on behalf of your organization.
- Compliance: You must comply with all applicable laws, including export controls and economic sanctions. You may not use the Service if you are on any government restricted-parties list.
3) Accounts & Security
You are responsible for maintaining the security of your account credentials and for all activities under your account:
- Account security: Use a strong, unique password. We recommend enabling multi-factor authentication (MFA) when available.
- Confidentiality: Do not share your password or account access with others. You are responsible for all activity that occurs under your account.
- Unauthorized access: Notify us immediately at security@invoicebest.com if you suspect unauthorized access to your account.
- Account sharing: Each user should have their own account. Sharing accounts violates these Terms and may result in suspension.
4) Service Availability & Pricing
InvoiceBest is currently offered with a free tier and optional paid subscriptions. We reserve the right to modify pricing and feature availability:
- Free tier: Basic features are available at no cost. We may limit features, usage quotas, or support for free accounts.
- Paid plans: Premium features require a paid subscription. Current pricing is available on our website.
- Price changes: We will provide at least 30 days' advance notice before increasing prices for existing subscribers.
- Grandfathering: If you subscribe before a price increase, your rate will remain the same for at least 12 months from the increase announcement.
5) Acceptable Use
You agree not to misuse the Service or help anyone else do so. Prohibited activities include:
- Illegal activity: Using the Service for any unlawful purpose, fraud, or to violate the rights of others.
- Abuse: Harassing, threatening, or impersonating others; uploading malware or malicious code.
- Intellectual property: Uploading content you don't have rights to; infringing copyrights, trademarks, or trade secrets.
- System abuse: Attempting to circumvent security measures, rate limits, or access controls; scraping or automated access outside documented APIs.
- Reverse engineering: Decompiling, disassembling, or attempting to extract source code (except where permitted by law).
- High-risk uses: Using the Service for safety-critical applications (medical devices, nuclear facilities, aircraft navigation) without our written consent.
- Resource abuse: Excessive API calls, denial-of-service attacks, or activities that degrade service for others.
Enforcement: Violations may result in immediate suspension or termination of your account, with or without notice, and potential legal action. We reserve the right to investigate suspected violations and cooperate with law enforcement.
6) Subscriptions, Billing, & Cancellations
Billing
Paid subscriptions are billed monthly or annually in advance. You authorize us to charge your payment method on each billing cycle until you cancel.
- Payment methods: We accept major credit cards and other methods via Stripe.
- Failed payments: If payment fails, we'll attempt to collect again. After 3 failures, your account may be downgraded or suspended.
- Taxes: Prices exclude applicable taxes (VAT, GST, sales tax). You are responsible for all taxes.
Trials
We may offer free trials for paid features. You must provide a payment method to start a trial. If you don't cancel before the trial ends, you'll be charged for the subscription.
Cancellation
You may cancel your subscription at any time from your account settings. Cancellations take effect at the end of your current billing period. No refunds for partial billing periods.
Refunds
Generally, subscription fees are non-refundable. We may provide prorated refunds at our discretion for technical issues or service unavailability caused by us. Contact support within 14 days of the charge to request a refund.
7) Your Content & Data
Ownership
You retain all rights to the content and data you upload to the Service ("Your Content"). This includes invoices, customer information, products, notes, and attachments.
License to Us
You grant InvoiceBest a limited, worldwide, non-exclusive license to use, store, process, and transmit Your Content solely to provide, maintain, and improve the Service. We will not use Your Content for any other purpose without your consent.
Your Responsibilities
You represent and warrant that:
- You own or have all necessary rights to Your Content.
- Your Content does not violate any laws or third-party rights.
- Your Content does not contain viruses, malware, or harmful code.
- You have obtained all necessary consents to share personal data of your customers/contacts.
Data Export & Portability
You can export Your Content at any time using our export tools (CSV, PDF). We provide data export in standard formats to facilitate portability.
Data Retention After Termination
Upon account deletion, we will delete Your Content within 30 days (up to 90 days for backup cycles), subject to legal retention requirements. See our Privacy Policy for details.
Data Processing Addendum
For enterprise customers or where required by law, we provide a Data Processing Addendum (DPA) at invoicebest.com/legal/dpa.
8) Privacy & Security
RLS, encryption, and other measures; see our Privacy Policy.
9) Third-Party Services & Links
Subject to their terms and policies; we’re not responsible for third-party actions.
10) APIs & Rate Limits
We may set quotas; misuse may suspend access; minimize personal-data caching.
11) Intellectual Property; Feedback
Our IP & marks; feedback license; IP complaints: legal@invoicebest.com.
12) Service Changes & Availability
We may add/modify/limit features or suspend service with reasonable notice.
13) Term; Termination
You can stop any time; we may suspend/terminate for breach or risk; certain sections survive.
14) Indemnification
Your use/breach indemnifies InvoiceBest and affiliates.
15) Disclaimers
Provided “as is”; no warranties; not for high-risk activities.
16) Limitation of Liability
To the maximum extent permitted by law, InvoiceBest's total liability for any claims under these Terms is limited to the greater of:
- USD $100, or
- The amount you paid us in the 12 months before the claim arose
Exclusion of Damages: We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, data, revenue, or business opportunities, even if we were advised of their possibility.
Exceptions: This limitation does not apply to (a) our indemnification obligations; (b) your payment obligations; (c) violations of intellectual property rights; or (d) liability that cannot be limited by law (such as death or personal injury caused by negligence).
17) Dispute Resolution; Arbitration; Class Waiver
Informal resolution → binding AAA arbitration, Wilmington, DE; class-action waiver; opt-out window.
18) Governing Law
Delaware law; Delaware courts (subject to the arbitration section).
19) Export Controls & Sanctions
Don’t use/export in violation of applicable laws; not a prohibited party.
20) Changes to These Terms
We’ll notify of material updates; continued use = acceptance.
21) Miscellaneous
- Entire agreement; assignment; severability; waiver; force majeure; notices.
22) AI Assistant Terms
Our optional AI Assistant uses large language models to help you manage invoices and customers. By using this feature:
- Data processing: Your prompts and relevant business data are sent to AI providers to generate responses.
- No training: Your data is not used to train AI models. We configure zero-retention policies with providers.
- Accuracy: AI-generated content may contain errors. You are responsible for reviewing and verifying all AI outputs before use.
- No guarantees: We do not warrant the accuracy, completeness, or reliability of AI-generated content.
- Opt-out: You can disable AI features at any time in your settings.
23) Invoice Recipient Rights
When you send an invoice to a customer using our Service, your customer (the invoice recipient) has certain rights:
- The right to receive a clear, accurate invoice with all required information.
- The right to request corrections to invoice errors.
- The right to contact us regarding privacy concerns about their personal data (email, address) you included on the invoice.
- The right to opt out of future communications if you use our email sending features.
You are responsible for ensuring invoices you send comply with applicable consumer protection and invoicing laws in your jurisdiction.
